Terms and Conditions

The following Terms and Conditions of Service apply to all artwork, graphic design, print and related services provided by Designidge Limited.

1. Interpretation

In these terms:

  • Client means the person or entity named in the quotation to whom Designidge agrees to provide the Services.
  • Designidge means Designidge Limited.
  • Services means the services set out in the quotation provided by Designidge to the Client.

Placing an order for Services constitutes acceptance of the quotation and agreement to these Terms and Conditions.

2. Orders

All orders must be made in writing or, if made verbally, confirmed in writing.

No order shall be deemed accepted until confirmed in writing by Designidge.

The Client is responsible for ensuring the accuracy and completeness of the brief and any specifications provided.

3. Quotations

All prices are estimates for the Services only and are valid for 30 days from the date of issue.

Quotes are based on the expected scope of work and include up to two rounds of amendments. Any additional changes or alterations to the brief will be treated as additional work and quoted separately.

4. The Brief & Scope

The Client and Designidge will agree the specification of the Services, including scope and timing. Designidge is not obliged to begin work until this has been agreed.

Any changes or additions to the agreed scope must be confirmed in writing by both parties.

Any work requested outside of the agreed scope will be treated as additional work and quoted separately.

The Client is responsible for ensuring that all materials supplied (including text, images, logos, video and data) have the appropriate permissions, licences and rights for use. Designidge accepts no liability for infringement arising from materials supplied by the Client.

5. Approvals

Designidge will provide proofs for approval prior to final production.

Once final approval is given, this constitutes authority to proceed. No further amendments can be made after approval.

It is the Client’s responsibility to check all content carefully. Designidge is not liable for any errors identified after approval.

6. Timeframes & Delivery

Any dates provided are estimates only. Designidge shall not be liable for delays caused by factors outside its control.

Designidge shall not be responsible for delays caused by the Client, including late provision of content, feedback or approvals.

Delivery costs are not included unless stated. Additional costs may apply for expedited or courier delivery.

Where Services include printed materials, installation or erection is not included.

Digital files will be supplied in appropriate formats for their intended use (e.g. PDF, JPEG, PNG). Editable/source files are not included unless agreed in writing.

7. Intellectual Property & Usage

All working files, concepts and source files remain the property of Designidge unless otherwise agreed in writing.

Upon full payment, the Client is granted a non-exclusive, perpetual licence to use the final approved deliverables for their intended business purposes.

Where stock assets are used, they remain subject to their original licence terms and may be non-exclusive.

Designidge reserves the right to use completed work and initial concepts for portfolio, marketing and promotional purposes unless otherwise agreed.

8. Confidentiality

Designidge acknowledges that it may receive confidential information relating to the Client’s business. Such information will be treated as confidential and not disclosed to third parties without consent.

9. Payment

All prices are subject to VAT (where applicable).

A 50% deposit is required before work begins, with the remaining balance due within 14 days of the final invoice.

For larger or longer-term projects, Designidge may invoice monthly.

Designidge reserves the right to request full payment in advance for new clients.

Invoices must be paid within 14 days. Designidge reserves the right to charge interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 on overdue amounts.

Third-party costs (including print, postage, hosting or stock assets) may require payment in advance and are non-refundable once incurred.

10. Cancellation

Either party may terminate the Services at any time in writing.

The Client will be responsible for payment of all work completed and expenses incurred up to the point of cancellation.

If cancellation occurs after completion of the Services, full payment remains due.

11. Limitation of Liability

Designidge’s total liability in respect of any claim arising under these Terms shall be limited to the total fees paid by the Client for the Services.

12. Force Majeure

Designidge shall not be liable for failure or delay in performing Services due to circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, war, terrorism, power failure, industrial disputes or inability to obtain materials.

13. Entire Agreement

These Terms and Conditions, together with any quotation or engagement letter, constitute the entire agreement between the parties.

14. Amendments

Designidge reserves the right to update these Terms and Conditions at any time. The latest version will be provided to the Client where applicable.

Scope & Changes
Work is based on the agreed brief and includes up to two rounds of amendments. Any additional changes or new requests will be quoted separately.

Timelines
Project timings are estimated and depend on timely feedback and content from the client. Delays in feedback or approvals may affect delivery dates.

Approvals
Final artwork will be shared for approval before completion. Once approved, no further changes can be made and responsibility for accuracy passes to the client.

Files & Deliverables
Final files will be supplied in appropriate formats for their intended use (e.g. PDF, JPEG, PNG). Editable/source files are not included unless agreed in advance.

Usage
Once the project is paid in full, you’re free to use the final approved work for your business. Working files and underlying assets remain the property of Designidge.

Third-Party Costs
Any external costs (e.g. print, postage, stock assets) will be outlined separately and may require payment in advance.

Payment Terms
A 50% deposit is required to begin work, with the remaining balance due within 14 days of the final invoice.

Cancellations
If a project is cancelled, payment is required for any work completed up to that point.
